Political Contributions
Unisys made the following contributions to political organizations, including entities organized under Section 527 of the Internal Revenue Code, in 2008:

Industry and Other Associations
Unisys is also a member of numerous industry associations and civic and other organizations and participates in standards bodies and industry coalitions. We participate in these associations and organizations for business and civic purposes and not as a means to make political contributions. Nevertheless, Unisys asked those associations to which we paid total dues or other amounts of $25,000 or more in 2008 to inform us of the portion, if any, of such dues or other payments that, if made directly by Unisys, would not be deductible under Section 162(e)(1)(B) of the Internal Revenue Code because used for political contributions. All of the associations replied that such payments from Unisys were not used for political contributions.
Use of Corporate Resources in Political Campaigns and Other Political Activities
Applicability: This procedure applies to all Unisys operating groups and staff functions worldwide, including subsidiaries and supersedes any previous Unisys guidance regardless of source.
Policy: No corporate funds, products, services, or other corporate resources may be contributed directly or indirectly to any elected officials, political candidates or parties at the U. S. Federal level. At the State and local level, and in the international area, corporate resources may be contributed to elected officials, political candidates or parties to the extent permitted by applicable law and in accordance with this policy. Such contributions must also be approved in advance in accordance with the Unisys Delegation of Authority. Requests by employees for Unisys to make permitted political contributions or for Unisys to participate in any other political activity must first be submitted in writing to the Corporate Ethics Office. Such requests must include the approval of the applicable Business Unit President or staff unit head and contain the details of date, place, nature of the activity, Unisys personnel and costs involved, rationale, and, as appropriate, name of the recipient and party affiliation. If the Ethics Office determines that the request satisfies these requirements and is in compliance with applicable law and regulations, the Ethics Office will obtain the executive approvals required under the Delegation of Authority.
Requests for Unisys to contribute to or support any charity, sports or other event or activity under the sponsorship of a political party, an elected official, announced candidate for elected office, or group of such entities, also must first be submitted in writing to the Corporate Ethics Office. Requests must include the approval of the applicable Business Unit President or staff unit head and contain the details of date, place, nature of the activity, Unisys personnel and costs involved, rationale, and, as appropriate, name of the recipient and party affiliation. If the Ethics Office determines that the request satisfies these requirements and is in compliance with applicable law and regulations, the Ethics Office will obtain the executive approvals required under the Delegation of Authority.
Unisys has established a Political Action Committee (PAC) in the United States called the Unisys Employees Political Action Committee. The Unisys PAC accepts employee contributions in order to make political contributions to U. S. Federal candidates supportive of the interests of Unisys employees. All contributions to the PAC are voluntary and employees may choose not to contribute without fear of reprisal.
Unisys encourages individual personal participation in the political process. Employees are free, of course, to make personal political contributions, but managers should not attempt to influence employee choices in any way. Personal contributions should never be represented as coming from Unisys or as reflecting Unisys sponsorship. Employees may not seek reimbursement for any contributions made with personal funds. Requests by employees to make political contributions in the U. S. through the Unisys Employees Political Action Committee or to participate through the PAC in any other political activity must be submitted in writing to a member of the PAC Operating Committee. The request should include details of date, place, nature of the activity, Unisys personnel and costs involved, rationale, and, as appropriate, name of the recipient and party affiliation.
Report to Board of Directors: A report on corporate political contributions will be made to the Unisys Board of Directors, or a committee of the Board, on an annual basis.
Definitions: Corporate funds refer to any direct or indirect monetary payment by the Company; products mean Unisys equipment, software and services. Political participation services include fund raising, providing transportation, and any other activity to assist, support or advance political candidates or parties. Resources include the use of corporate time, equipment, systems (including e-mail), stationery, postage, software, the assistance of any employee, and any other involvement of corporate supplies, facilities or personnel.
